1. Acceptance of Terms
By accessing or using Viralister ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.
2. Eligibility
You must be at least 18 years old to use Viralister. By registering, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.
Content creators must have content with 2,000+ views to qualify for participation in contests.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Creator Terms
4.1 Content Ownership
You retain full ownership of all content you create and submit to contests on the Platform. By submitting content, you grant brands a non-exclusive license to use submitted content for their marketing purposes as outlined in individual contest terms.
4.2 Payment Terms
Payments are based on contest performance and winning criteria. You will be paid only for content that wins or places in contests, as determined by the metrics specified in each contest (e.g., views, engagement). Payments are processed via Stripe Connect.
4.3 Content Standards
All submitted content must comply with contest guidelines, applicable laws, and community standards. Content that violates these standards may be removed, and your account may be suspended or terminated.
5. Brand Terms
5.1 Contest Creation
Brands may create contests with specified budgets, requirements, and performance metrics. You agree to pay only for content that meets the winning criteria you establish.
5.2 Payment Obligations
You agree to pay for winning content as specified in your contest terms. Payments are processed through Stripe, and you are responsible for all applicable fees.
6. Platform Fees
Viralister charges a service fee on transactions processed through the Platform. The current fee structure will be communicated during account setup and may be updated with reasonable notice.
7. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose
- Upload content that infringes on intellectual property rights
- Engage in fraudulent activity, including view manipulation or fake engagement
- Harass, abuse, or harm other users
- Attempt to gain unauthorized access to the Platform or other user accounts
- Use automated tools or bots to interact with the Platform
8. Intellectual Property
The Viralister platform, including its design, features, and content (excluding user-generated content), is owned by Viralister and protected by copyright, trademark, and other intellectual property laws.
9. Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRALISTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
11. Indemnification
You agree to indemnify and hold harmless Viralister, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Platform or violation of these Terms.
12. Termination
We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may terminate your account by contacting us at support@viralister.com.
13. Modifications to Terms
We may modify these Terms at any time. We will notify you of significant changes via email or through the Platform. Your continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Viralister operates, without regard to its conflict of law provisions.
